1. Acceptance of Terms

By accessing or using any of the Services, you accept and agree to be bound by this Agreement, including any future amendments, updates, and modifications. If you do not agree with any part of these Terms and Conditions, do not use our Services.

2. Services Provided

Ally provides AI-driven solutions for water care, focusing on pools, aquariums, and other water environments. Our Services include:

Access to AI-powered tools for water care management.
Subscription-based access to features for personalized recommendations, maintenance tracking, and real-time guidance.
Customer support, educational content, and additional features designed to improve water care in your space.

We reserve the right to modify, suspend, or discontinue any of the Services at any time, with or without notice, and without liability.

3. Account Registration

To access certain features of the Services, you may be required to create an account. By registering, you agree to provide accurate, current, and complete information during the registration process and maintain the security of your account information. You are solely responsible for:

Keeping your account information secure and confidential.
Ensuring that no unauthorized access occurs.
Notifying us immediately of any unauthorized use or suspected security breaches related to your account.

You agree to indemnify and hold Ally by WA.I.TER AI, Inc. harmless from any liabilities, losses, or damages arising from unauthorized access to your account.

4. Use of Services

You agree to use our Services only for lawful purposes and in accordance with this Agreement. You may not:

Use the Services to violate any local, state, or national laws or regulations.
Engage in any activity that could damage, disable, overburden, or impair the functionality of the Services.
Attempt to gain unauthorized access to our systems or any user’s account.
Use any automated means to extract data from our Services without permission.

Failure to comply with these rules may result in the suspension or termination of your access to our Services.

5. Subscription and Payment

A. Subscription Plans
Ally offers various subscription plans that grant access to premium features and services. Subscription fees are outlined on the pricing page, and we reserve the right to modify these prices at any time.

B. Payment Information
All payments for subscriptions are processed securely using third-party payment processors such as Stripe and RevenueCat. You agree to provide valid payment information, and you authorize us to charge the applicable fees for the chosen subscription plan.

C. Billing and Renewals
Subscriptions are billed on a recurring basis, either monthly or annually, depending on the selected plan. You will be billed at the start of each billing cycle and will be charged automatically unless you cancel your subscription.

D. Cancellations and Refunds
You may cancel your subscription at any time. Cancellations do not result in a refund for the current billing cycle. If you cancel your subscription, access to premium features will continue until the end of the current billing cycle. 6. Privacy and Data Security

We are committed to protecting your privacy. Please refer to our Privacy Policy to understand how we collect, use, and protect your personal data. You acknowledge and consent to our collection and use of your information as outlined in the Privacy Policy.

7. User Content

A. Ownership
Any content you upload or submit to the Services (e.g., maintenance logs, images, feedback) remains your property. However, by submitting such content, you grant Ally by WA.I.TER AI, Inc. a perpetual, royalty-free, worldwide, and sublicensable license to use, modify, display, and distribute that content in connection with our Services.

B. Responsibility
You are responsible for ensuring that any content you submit does not infringe the intellectual property rights of others and complies with all applicable laws.

8. Third-Party Services

Our Services may contain links to third-party websites or services. These third-party sites are not under the control of Ally by WA.I.TER AI, Inc., and we are not responsible for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and conditions of any third-party sites you visit.

9. Intellectual Property

A. Ownership of Services
All content, features, and functionality available through the Services, including but not limited to text, graphics, logos, software, and trademarks, are the property of Ally by WA.I.TER AI, Inc. and are protected by intellectual property laws.

B. License to Use
By using our Services, you are granted a non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes, in accordance with this Agreement.

10. Limitation of Liability

Ally by WA.I.TER AI, Inc. is not liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from:

Your use or inability to use the Services.
Any unauthorized access or alteration of your data.
Any errors, bugs, or interruptions in the Services.

Our total liability for any claim under this Agreement will be limited to the amount you paid for the subscription in the six months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ally by WA.I.TER AI, Inc., its officers, employees, agents, and affiliates from any claim, liability, loss, or expense (including legal fees) arising from:

Your use of the Services.
Your breach of this Agreement or any applicable laws.
Your infringement of any third-party rights.

12. Termination

A. Termination by Ally
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated this Agreement or engaged in illegal or harmful behavior.

B. Termination by User
You may terminate your account at any time through your account settings or by contacting us at info@allybywaiter.com. Upon termination, you will no longer have access to the Services, but any data retained on your account will remain in accordance with our Privacy Policy.

13. Dispute Resolution

In the event of a dispute, you agree to first attempt to resolve the issue directly with Ally by WA.I.TER AI, Inc.. If the dispute cannot be resolved informally, the dispute will be resolved through binding arbitration in [Jurisdiction], and the decision will be final.

14. Governing Law

This Agreement and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

15. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or business operations. Users will be notified of material changes either via email or in-app notifications. The most current version of this Agreement will be posted on this page, and the Last Updated date will be revised accordingly.
